Definitions:
”Company” means nasir.digital (nasir. digital ltd), registered in England and Wales under Company Number 14053907, and trading as nasir.digital, whose Registered Office is at 83C Underwood Lane, Crewe, CW1 3JT, United Kingdom.
For ‘nasir. digital ‘The Client’ means the party, or any person acting on their behalf, with whom the Company contracts. PO = Purchase Order / VAT = Value Added Tax
- All charges & prices for services carried out by the Company are subject to VAT (where applicable) at the prevailing rate.
- All estimated prices, whether written or verbal, are for the listed services only. Any additional services required to complete a project will be quoted in advance and charged separately. Deliveries and couriers are additional.
- A signed purchase order (preferably with a PO number and project value) (where agreed by the office) must be raised for the full quoted and agreed amount before work can commence on any job. A separate PO may be required for additional services such as distribution, storage, deliveries, or mailing.
- All work is billed either monthly ( applicable only for marketing products), upon completion of a project stage, or at the relevant hourly charge as previously agreed. For marketing services, nasir.digital ltd. required one month’s payment in advance.
- While every effort will be made to achieve agreed delivery timelines, the Company cannot accept liability or be held financially responsible for any delays caused by factors outside of the company’s control.
- All estimates are based on the expected or agreed design time and include up to two sets of the author corrections where alterations are called for by the Client, or if additional changes are required by the Client.
- Where there is a change of brief, the Company will inform the Client in advance of any additional costs likely to be incurred.
- All projects are planned according to an agreed schedule. Failure by the Client to adhere to this schedule may compromise final delivery deadlines. If this occurs, the Company will notify the Client as soon as possible and, where feasible, propose an alternative solution. Additional costs may apply.
- For all new clients, payment of the full or partial amount (including VAT) may be required in advance before work commences, as agreed between the parties. For subsequent invoiced work, full payment must be received within 30 days from the invoice date. The Company reserves the right to charge interest at a rate of 2% per month on overdue accounts. Client credit screening may affect future credit agreements.
- Once a client has agreed to the Company’s current Terms and Conditions under a credit account with the company, nasir.digital ltd. shall invoice in project stages, e.g., Stage 1 Conceptual Design, Stage 2 Detailed Design, and Design Development, etc. Upon stage completion, unless exceptional terms have been agreed upon with the client.
- nasir.digital ltd. reserves the right to invoice for any disbursements or part works carried out, including third-party costs incurred on a project, should the project be unable to be completed for any reason or have been delayed/put on hold by the Client for 4 weeks or more, then stage invoicing will occur.
- We always take a payment before starting the work process. Please note that we should receive full payment when you place the order.
- In good faith, nasir.digital ltd. would hold any supplied files, originals, and materials for a period of up to 12 months. The resumption of work on the project would be completed according to the original schedule of costs, so long as the project specification remained unaltered.
- Refund policy – Any request for a refund or partial refund must be made within 30 days of project confirmation or payment confirmation. All virtual or intellectual products, including but not limited to website design, graphic design, and artwork, are Non-refundable.
- There is NO REFUND on the design and installation fees. We always charge for the design unless it’s mentioned FREE. If you reorder the same item/ product, there is no fee for the design. If you ordered a different product/ service, design changes may apply.
- Web hosting and website domains are always the property/properties of nasir.digital ltd. unless the client/clients have previously paid for that. Any domain/ domains are registered under the name nasir.digital ltd., always the property/ properties of nasir. digital ltd.
- Any domain/ hosting plan registered under nasir.digital ltd. , but using a third-party website requires making a clear payment 14 days before the expiry date. Failure of payment could cause the cancellation of the domain/ hosting plan. We (nasir.digital ltd.) will not be responsible for any domain/ hosting plan losses. Redesign or a new hosting plan may cause additional fees/ charges.
- The Client will be responsible for providing necessary data, information, and photographs unless the Client pays for script writing or a photoshoot.
- Website design ONLY includes the design of the site. Domain, hosting, SEO, email, etc., are not included in website design unless it is mentioned.
- Design Terms: All designs created by the Company remain the Company’s property. The Client may charge for the final design as they wish; however, the master design files remain the Company’s digital property. The Client is not entitled to the source files. Upon completing the design process, the design will be addressed as the company’s digital product. The client will not be liable for the main file of the design.
- Artwork Copyright term: While you are paying for the final, usable product (e.g., a PDF, a JPEG, a printed brochure), you are not purchasing the underlying, editable source files (e.g., Adobe Illustrator .ai, Photoshop .psd, or InDesign .indd files) or the original copyright.
- Why Designers Retain Original Files Future Business: Designers often keep original files so that if you are returned to them for future edits, updates, or print runs.
- Protection of Tools: Source files may contain proprietary fonts, stock images, or brushes that the designer has licensed, which they cannot legally transfer to you.
- Intellectual Property Value: The “design fee” often covers only the time to create the final version, not the outright purchase of the creative, editable assets.
- Action Required: If anyone tries to use our artwork for any marketing purpose, our company reserves the right to take action against the person or company.
- All creative work, including digital files, software, correspondence, and intellectual property, remains the property of the Company.
- Once final proofs/materials have been signed off, the Company cannot be held responsible financially or otherwise for any errors relating to print, programming, or any end product.
- It is the responsibility of the Client that all materials (including, but not limited to, images, diagrams, logos, videos, data, as well as intellectual property in other media) supplied to nasir.digital ltd. by the client will have the relevant copyrights, licenses, and permissions for use in the commissioned project. nasir.digital ltd. will not accept responsibility/liability for infringements caused by any wrongly supplied materials.
- The Company reserves the right to commission freelance support or outsource any job if it is felt that it is in the best interests of the Client. Any outsourced job remains the property/responsibility of the company, and such services are deemed to be carried out ‘indirectly’ by the Company.
- As part of larger projects that involve 3rd parties commissioned directly by the client, the Company will not be held responsible in any way for services not carried out/managed directly or indirectly by the Company.
- The advice of any loss, quality, or damage issues must be reported to the Company within five clear working days of delivery and receipt (whether printed or digital), and any claim in respect thereof must be made in writing to the Company within 3 working days thereafter. The Company shall not be liable in respect of any claim unless the aforementioned requirements have been complied with.
- In the event of any bona fide dispute or difference arising between the parties in connection with the Contract (excluding any dispute relating to nonpayment of the Charges, for whatever reason), the parties shall attempt to resolve such dispute or difference in good faith or by mediation. It is the responsibility of the Client to inform the Company immediately of any issue that may lead to a dispute (including but not limited to quality, service, cost, and deadline); without such information, no disputes will be entered into.
Every endeavour will be made to deliver the correct printed quantity ordered, but estimates are conditional upon margins of 5%. The Company reserves the right to change/alter ordered amounts in the Client’s best interest. - Whilst taking every care to protect all media and correspondence supplied, the Company cannot accept liability or be held responsible financially or otherwise for any loss. Disputes will not be entered into.
- The Company cannot guarantee the Client exclusivity of any marketing concept, strategy, design, or other intellectual property provided. Therefore, the Company will not accept liability for any alleged claim from the Client or any Third Party as a result of unintentional similarity in part or whole of a Third Party’s copyright-protected or registered trademark or brand, identity, strapline, colour usage, image style and content, product, or otherwise.
- It remains the Client’s responsibility to seek copyright protection if desired for any creative/intellectual property provided to the Client by the Company.
- If at any point during the design or development cycle, a client wishes to cancel, they may do so but will be invoiced an amount that nasir.digital ltd. Judges are to be proportional to the amount of work completed on the commission, and further compensatory charges for booked design time, printing press time, or any other supply costs accruing.
- The Company reserves the right to add our Company credit on printed or digital projects unless instructed otherwise by the Client and to use for self-promotion any work carried out for the Client.
- The Company reserves the right to use both initial creative concepts and final approved design work for the Company’s marketing activities (both online and offline) unless otherwise requested/agreed with the Client.
- Terms and Conditions may be changed at any time without prior notice to its clients. A notification will be sent to all clients at the time of the Terms and Conditions alterations.
- The Company shall be under no liability if it should be unable to carry out any provision of the contract for any reason beyond its control including (without limiting the foregoing), Acts of God, Legislation, War, Acts of terrorism, Fire, Flood, Drought, Failure of power supply, Lockout, Strike by employees in contemplation of furtherance of dispute or inability to procure materials required for the performance of the contract. During the continuance of such a contingency, the Customer may, by written notice, elect to terminate the contract and pay for work done and materials used, but subject thereto shall otherwise accept delivery when available.
- nasir.digital ltd. will have a lien over any product, data, or materials if all payments due from you have not been paid and cleared in full within 1 month from the invoice date.
- We reserve the right to withhold the supply of goods and, in the case of web services, this includes recalling services, including the hosting of websites.
- The Client agrees to the Company’s trading Terms and Conditions by commissioning our services.
- Web hosting service level agreement.
- We kindly inform you that the images on our website are used for educational or research purposes. Not for any commercial uses. We use images from Google based on our research results. We are not supposed to use any for commercial or branding purposes.
- For any extreme weather, like heavy rain or any natural disasters that happen, we are not responsible for any sign damage.
- We are not liable for any damage caused by a natural disaster
- If anyone uses our images, they use them only for educational or research purposes. Otherwise, the use of images for any commercial purposes is not permitted.
- For the Sign Installation: For any Sign installation, we need to clarify that we need exactly 4 weeks after the approval date. The date counts from the approval date.
- Self-Installation policy: If any customers/clients want to do the installation by themselves, we are not responsible for any damage. We will not take any liability for self-installation by the client.
- Refund policy for Sign: For any refund and cancellation after the approval of the sign/stickers, Clients need to bear the design and material cost. You should pay for the design and material that we use for sign/sticker purposes. If you want, you can have the material.
- For printing: If you order for 1-2 working days or the next day print, we can’t change any design, and a refund. And if you order for 3-5 / 5-7 working days, we can change the design until it is going for printing. After the artwork goes for printing, we can’t change any design and a refund.
